1. Service Agreement

1.1 Service Description

YMM Digital (“we,” “us,” or “our”) provides digital marketing services specifically for law firms (“Client” or “you”). Our services include but are not limited to:

  • Strategic marketing planning
  • Digital advertising management
  • Content creation and optimization
  • Website development and maintenance
  • Analytics and reporting

1.2 Term of Agreement

  • Initial term: 6 months
  • Auto-renewal: Month-to-month basis
  • Cancellation notice: 30 days written notice required

2. Payment Terms

2.1 Fee Structure

  • Services billed monthly in advance
  • Additional services billed as agreed
  • Payment due within 15 days of invoice date
  • Late payments subject to 1.5% monthly interest

2.2 Price Changes

  • 30 days notice for any price changes
  • Option to cancel if price changes not accepted

3. Client Responsibilities

3.1 Cooperation

Client agrees to:

  • Provide necessary access and materials
  • Respond to requests within 48 business hours
  • Review and approve deliverables timely
  • Maintain necessary licenses and permissions

3.2 Content Ownership

  • Client retains ownership of provided materials
  • YMM Digital retains ownership of frameworks and methodologies
  • Client receives license to use created materials

4. Our Responsibilities

4.1 Service Delivery

We commit to:

  • Deliver services as agreed
  • Maintain professional standards
  • Provide regular reporting
  • Protect client confidentiality

4.2 Performance Standards

  • Monthly performance reviews
  • Quarterly strategy sessions
  • Regular optimization and updates
  • Transparent reporting

5. Confidentiality

5.1 Protected Information

Both parties agree to protect:

  • Business strategies
  • Client information
  • Pricing details
  • Proprietary methods

5.2 Data Security

We implement:

  • Industry-standard security measures
  • Regular security audits
  • Data backup procedures
  • Access controls

6. Termination

6.1 Termination Rights

Either party may terminate for:

  • Material breach
  • Non-payment
  • Force majeure
  • As provided in agreement

6.2 Post-Termination

Upon termination:

  • All outstanding payments due
  • Transfer of assets as agreed
  • Return of confidential information
  • Transition support provided

7. Limitation of Liability

7.1 Liability Cap

  • Limited to fees paid in previous 6 months
  • Excludes gross negligence or willful misconduct
  • No liability for indirect damages

7.2 Indemnification

Client agrees to indemnify for:

  • Provided materials
  • Use of services
  • Regulatory compliance

8. Intellectual Property

8.1 Ownership

  • Client owns final deliverables
  • We retain methodology rights
  • Third-party materials as licensed

8.2 Usage Rights

  • Client receives perpetual license
  • Agency portfolio usage rights
  • Attribution requirements

9. Dispute Resolution
